These Terms of Service ("Terms") constitute a legally binding agreement between you ("you", "your", "User") and MomentumLab ("we", "us", "our", "the Company", "the Platform") governing your access to and use of the MomentumLab platform, including the website at getmomentumlab.com, the application at app.getmomentumlab.com, and all related services, content, features, and functionality (collectively, the "Service").
By creating an account, subscribing to a plan, or otherwise accessing the Service, you confirm that you have read, understood, and agree to be bound by these Terms, our Privacy Policy, and our Disclaimer & Risk Warning. If you do not agree, you must not use the Service.
1.1. MomentumLab is a software platform that provides access to quantitative financial data, model-generated outputs, stock rankings, market trend indicators, historical backtests, and related analytical information pertaining to S&P 500 equities.
1.2. The Service is intended strictly for informational and educational purposes only. MomentumLab is not a financial institution, investment firm, broker, dealer, custodian, investment adviser, portfolio manager, or fiduciary.
1.3. Nothing on the Platform constitutes, or should be construed as:
1.4. MomentumLab does not hold, manage, or have access to your funds, brokerage accounts, or investment portfolios. The Platform does not execute, route, or transmit orders of any kind.
2.1. You must be at least 18 years old and have the legal capacity to enter into a binding agreement in your jurisdiction to use the Service.
2.2. By using the Service, you represent and warrant that you meet these eligibility requirements and that all registration information you provide is accurate, current, and complete.
2.3. The Service is not directed at, and is not intended for use by, persons in jurisdictions where such use would be contrary to applicable laws or regulations. You are solely responsible for ensuring that your use of the Service complies with all applicable local, national, and international laws.
3.1. To access certain features, you must create an account by providing a valid email address and password. You are solely responsible for maintaining the confidentiality and security of your login credentials.
3.2. You are responsible for all activity that occurs under your account, whether or not authorised by you. You agree to notify us immediately at support@getmomentumlab.com of any unauthorised use of your account.
3.3. We reserve the right to suspend, deactivate, or terminate any account at our discretion, including but not limited to cases of suspected fraud, abuse, violation of these Terms, or inactivity.
3.4. Each account is for the exclusive use of the individual who created it. Account sharing, reselling access, or providing credentials to third parties is strictly prohibited.
4.1. MomentumLab offers paid subscription plans ("Core" and "Pro") with different feature sets. The specific features, pricing, and availability of each plan are described on the Platform and may be updated from time to time.
4.2. Subscriptions are billed on a recurring monthly basis. By subscribing, you authorise us (and our payment processor, Stripe) to charge your chosen payment method at the beginning of each billing cycle.
4.3. All prices are displayed in euros (€) and are inclusive of applicable taxes unless otherwise stated. You are responsible for any additional taxes, duties, or charges imposed by your jurisdiction.
4.4. You may cancel your subscription at any time through your account settings or the Stripe customer portal. Upon cancellation, your subscription remains active until the end of the current billing period. No partial refunds are provided for unused portions of a billing cycle.
4.5. We reserve the right to modify pricing at any time. Price changes will be communicated in advance and will apply from your next billing cycle following the notice period.
4.6. If a payment fails or is declined, we may retry the charge, suspend access, or cancel your subscription after a reasonable grace period.
5.1. Due to the nature of digital information services, all payments are final and non-refundable, except where required by applicable law (including but not limited to the EU Consumer Rights Directive withdrawal right where applicable).
5.2. If you believe you are entitled to a refund, please contact support@getmomentumlab.com within 14 days of the charge.
6.1. You acknowledge and agree that all investment decisions are made independently by you, at your own risk, and based on your own judgement. MomentumLab bears no responsibility for any financial outcomes resulting from decisions you make after viewing information on the Platform.

6.4. You acknowledge that MomentumLab does not act as your adviser or fiduciary and that no adviser-client or fiduciary relationship is created by your use of the Service.
7.1. The Platform generates and displays model outputs, rankings, trend indicators, historical data, and backtest results using quantitative methodologies applied to publicly available market data.
7.2. While we endeavour to provide accurate information, we do not guarantee, represent, or warrant that any data, output, chart, ranking, or statistic is accurate, complete, current, reliable, or error-free.
7.3. Data may be subject to delays, omissions, inaccuracies, or interruptions. Market data is sourced from third-party providers and may not reflect real-time conditions.
7.4. Backtested performance is hypothetical, has inherent limitations, and is subject to survivorship bias, look-ahead bias, and the exclusion of transaction costs, taxes, and slippage. See our Disclaimer & Risk Warning for full details.
8.1. All content, software, code, data, model outputs, design, text, graphics, logos, trademarks, and other materials available through the Service (collectively, "Content") are the property of MomentumLab or its licensors and are protected by applicable intellectual property laws.
8.2. Your subscription grants you a limited, non-exclusive, non-transferable, revocable licence to access and use the Content solely for your personal, non-commercial purposes in accordance with these Terms.
8.3. You may not, without our prior written consent: reproduce, distribute, modify, create derivative works from, publicly display, sell, licence, or commercially exploit any Content; use data scraping, crawling, or automated tools to extract data from the Platform; or reverse engineer, decompile, or disassemble any software or technology underlying the Service.
9.1. You agree to use the Service only for lawful purposes and in accordance with these Terms. You may not:
10.1. The Service relies on third-party providers for hosting (Vercel), database services (Supabase), payment processing (Stripe), market data, and other infrastructure. We are not responsible for the availability, accuracy, or performance of these third-party services.
10.2. Your use of third-party payment services is subject to those providers' own terms and conditions. We do not store or have access to your payment card details.
10.3. Any links to third-party websites or resources are provided for convenience only. We do not endorse and are not responsible for the content or practices of any third-party sites.
11.1. We strive to maintain continuous availability of the Service but do not guarantee uninterrupted or error-free operation. The Service may be temporarily unavailable due to maintenance, updates, or circumstances beyond our control.
11.2. We reserve the right to modify, suspend, or discontinue any part of the Service at any time, with or without notice. We will make reasonable efforts to communicate material changes in advance.
11.3. We reserve the right to modify these Terms at any time. Updated Terms will be posted on the Platform with a revised "Last updated" date. Continued use of the Service after such changes constitutes acceptance of the updated Terms. Material changes will be communicated via email to registered users.
12.1. To the maximum extent permitted by applicable law, MomentumLab, its founders, directors, employees, affiliates, agents, and licensors shall not be liable for any direct, indirect, incidental, special, consequential, exemplary, or punitive damages arising out of or related to:
12.2. In no event shall our total aggregate liability exceed the amount you have paid to MomentumLab in subscription fees during the twelve (12) months immediately preceding the event giving rise to the claim.
12.3. Nothing in these Terms excludes or limits liability for death or personal injury caused by negligence, fraud or fraudulent misrepresentation, or any other liability that cannot be excluded or limited under applicable law.
13.1. The Service is provided on an "AS IS" and "AS AVAILABLE" basis, without warranties of any kind, whether express, implied, or statutory, including but not limited to implied warranties of merchantability, fitness for a particular purpose, accuracy, completeness, and non-infringement.
13.2. We do not warrant that the Service will meet your requirements, that it will be uninterrupted, timely, secure, or error-free, or that any model output will be accurate or lead to profitable outcomes.
14.1. You agree to indemnify, defend, and hold harmless MomentumLab and its founders, directors, employees, and agents from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable legal fees) arising out of or related to: your use of the Service; your violation of these Terms; your violation of any applicable law or regulation; or any investment decision or action you take based on information from the Platform.
15.1. Your privacy is important to us. Our collection, use, and processing of personal data is governed by our Privacy Policy, which forms an integral part of these Terms.
15.2. By using the Service, you consent to the collection and processing of your data as described in the Privacy Policy, in compliance with applicable data protection laws including the General Data Protection Regulation (GDPR).
16.1. You may terminate your account at any time by cancelling your subscription and contacting us to request account deletion.
16.2. We may terminate or suspend your access to the Service immediately, without prior notice or liability, for any reason, including but not limited to a breach of these Terms.
16.3. Upon termination, your right to use the Service ceases immediately. Provisions of these Terms that by their nature should survive termination (including but not limited to Sections 6, 8, 12, 13, 14, and 17) shall remain in full force and effect.
17.1. These Terms shall be governed by and construed in accordance with the laws of the Netherlands, without regard to its conflict of law provisions.
17.2. Any disputes arising out of or in connection with these Terms or the Service shall be submitted to the exclusive jurisdiction of the competent courts in the Netherlands.
17.3. For consumers resident in the European Union, this clause does not affect your rights under mandatory consumer protection laws of your country of residence. You may also be entitled to use the European Commission's Online Dispute Resolution platform at https://ec.europa.eu/consumers/odr.
If any provision of these Terms is found to be invalid, illegal, or unenforceable, the remaining provisions shall continue in full force and effect. The invalid provision shall be modified to the minimum extent necessary to make it valid and enforceable.
The failure of MomentumLab to enforce any right or provision of these Terms shall not constitute a waiver of that right or provision. Any waiver must be in writing and signed by an authorised representative.
These Terms, together with the Privacy Policy and Disclaimer & Risk Warning, constitute the entire agreement between you and MomentumLab regarding the Service and supersede all prior agreements, understandings, and communications.
